I don't believe you have a binding contract without consideration; if Carabetta paid no money and provided no service, was there in fact a valid contract? Even if a promise to perform, in this case reneged on, satisfies consideration, my understanding is that unpaid taxes, trump all other claims; if these points weren't made I can't help wonder what fishy lawyer acted for the city.
