Sounds weird. Try copying the content of the second file to an empty file
to see what happens. If that works, try copying the content of the first
file in that new file and see what happens.

Giacomo, give a look to QConsolidate plugin. It doesn't create a zip file
but it groups all the layers in an unique folder. then, you just have to
zip this folder with the project file.
