What exact model of pen drive do you have? Look for similar problems for
that model on Google.

The safe mode suggestion is good but may not help with problems other
than formatting.
Some of the u3 drives come with a software utility that installs when
you use the drive for the first time on an XP box. In most cases, this
utility is the cause of this problem. Get rid of this utility and format
your drive so, this utility doesn't get installed again.
Look in add/remove programs if you have something installed specifically
for the pen drive. Also look in control panel|system|device manager.
If you cannot find anything, one utility that may come in handy is
"unlocker.exe". Look for a free download of this utility on Google. What
this does is allow you to remove all OS handles on a drive/folder and
get past the "drive/folder is in use" error message.
