2.4 is booting with ACPI disabled, so a direct comparison
of 2.6 vs 2.6 would be to boot 2.6 with "acpi=off".

Alternatively, you could boot 2.4 with "acpi=force" to see
if it can successfully boot in ACPI mode when 2.6 can not.
Please attach (do not paste) the resulting dmesg.

Also, please try the latest 2.6 kernel -- 2.6.21-rc5,
or at least the latest stable -- 2.6.20.stable
