Laura, We have recently gone through this procedure and it is not as painful as you would expect...The ADMT (Active Directory Migration Tool) is the way to go if you the target domain is going to be in native mode and if you Google ADMT NT 4.0 - 2003 migration you get all sorts of information, heres a bit to start you off.
