Replace the hardware and see if the same behavior occurs. If it is dual Nic'd then switch to the other Nic and disable the one reporting the condition. That will show if it is hardware or not at least and then troubleshoot from there.
The other conditions where I've seen this happen is that if you have the Nic set to auto and the switch to 100/1000 full and it try to re-negotiate with the Nic. Auto detect between vendors do not always place nice together. In this case either go all auto or set all of your gear to the same line speed.
