I actually just did this... I upgraded the OS then AGPM.  Worked like a charm.

Has anyone done an AGPM upgrade? I am currently using AGPM 4.0 on Server 2008 
R2, and I would like to upgrade to APGM 4.0 SP2 on Server 2012 R2.

Based on what I have read in the documentation, I think the most 
straightforward way to do it is to upgrade AGPM, so 4.0 SP2 is running on 2008 
R2, then upgrade the OS.
