I found the problem.. It was a mistake on my part. I did indeed update from the CDROM from 4.1.2 -> 4.2.0 however upon closer inspection I realize my mistake. I did an "update all" and the 4.2.0 CD includes a new fileset called Tivoli.tsm.license.cert which was not present in prior versions. As a result of doing an update all, this fileset didn't get installed. Also I notice Tivoli.tsm.devices.aix43.rte also didn't get installed.

I then did a smit install on the 4.2.1 update to install 4.2.1 of Tivoli.tsm.devices.aix43.rte. After a reboot, TSM was up and I could then register licenses fine. Problem solved.. don't use "update all" when installing a base level release is the lesson learned.
