Notifications are only shown for apps installed through Market. (Don't know what you mean about this rarely working, I am not aware of an issue there, and do get notifications all the time for apps installed on my phone. Though less now that I have many to auto-install.)
As long as the app on market is signed with the same cert as the one that is side-loaded, installing it from market should work and replace the previously installed one.
