Possible. This is what some thieves do with other's applications. You need to change the extension to .zip from .apk. Then extract the files. Remove to META-INF directory (to make it unsigned). Modify the contents. Then, make zip, change extension to .apk to .zip. Finally sign the apk with your own cert.
Search in google or this group. I hope you really have an agreement, though I have never heard of this kind of agreement. If I was the first party to have any such agreement, I would send you an unsigned apk, you would add your contents, sign and publish. And, if I had done the major development, I would rather ask you to send me the part you developed, then add that and sign with my cert and then publish.
