Dear AFRINIC members and community,
As the community is aware, the results of the vote at the May/June 2018 AGMM
led to an unprecedented situation where AFRINIC could not call and hold the
June 2019 AGMM as the Company did not satisfy the provisions regarding quorum
as provided for in Art 12.10 of its Constitution.
AFRINIC was advised to apply to the Supreme Court of Mauritius under section
118 of the Companies Act 2001 for an Order from the said Court to be able to
call the June 2019 AGMM.
As was reported by the Chairman of the Board on 7 February 2019 (see
<https://afrinic.net/2019-02-07-afrinic-2019-agmm-quorum-ruling
<https://afrinic.net/2019-02-07-afrinic-2019-agmm-quorum-ruling>>), the Supreme
Court of Mauritius has made an order, under case reference
SC/COM/MOT/01411/2018, whereby the Learned Judge has:
• waived the requirements of Art 12.10 of the AFRINIC Constitution, and
• declared that a minimum of 10 members (irrespective of their status
as regional or non-regional directors, registered or resource members) duly
constitutes a quorum for the purposes of the AGMM to be held on or about June
2019.
The AFRINIC Board has authorised publication of a redacted version of the court
record in which personal information is blacked out. Interested persons may
obtain the entire court record directly from the Registry of the Supreme Court
of Mauritius.

Quorum de l'AGMM 2019,
Chers membres d'AFRINIC et de la communauté,
Comme vous le saviez, les résultats du vote lors de l'AGMM de mai / juin 2018
ont débouché sur une situation sans precedent: AFRINIC ne serait plus en mesure
de convoquer ni tenir l'AGMM au mois de juin 2019 car AFRINIC ne répondrait pas
aux dispositions relatives au quorum selon l'article 12.10 de sa constitution.
Ainsi donc, AFRINIC a saisi la Cour suprême de Maurice, en vertu de l’article
118 de la loi de 2001 sur les sociétés, afin d’obtenir une ordonnance lui
permettant de convoquer la dite AGMM de juin 2019. Comme signifié par le
président du conseil d’administration d’AFRINIC dans son courrier en date du 7
février 2019 (voir

<https://afrinic.net/2019-02-07-afrinic-2019-agmm-quorum-ruling>>), la Cour
suprême de Maurice a rendu ordonnance, sous l'affaire SC / COM / MOT /
01411/2018, par laquelle le juge :
• a renoncé aux exigences de l’Art 12.10 de la Constitution d’AFRINIC, et
• a déclaré qu'un minimum de 10 membres (quelque soit leur statut de directeurs
régionaux ou non régionaux, de membres inscrits ou
de membres ressources) constitue dûment le quorum pour l'organisation de l'AGMM
qui se tiendra vers le mois de juin 2019.
Le conseil d’administration d’AFRINIC a autorisé la publication d’une version
expurgée du procès-verbal dans laquelle les informations personnelles sont
masquées. Cependant toute personne intéressée peut obtenir l'intégralité du
procès-verbal au greffe de la Cour suprême de Maurice.

الموضوع: 2019 النصاب القانوني AGMM
أعزائي الأعضاء والمجتمع
كما يدرك المجتمع ، أدت نتائج التصويت في مايو إلى يونيو 2018 AGMM إلى موقف غير
مسبوق حيث لم تتمكن AFRINIC من الاتصال وعقد AGMM يونيو 2019 حيث لم تستوف الشركة
الأحكام المتعلقة بالنصاب القانوني على النحو المنصوص عليه في المادة 12.10 من
دستورها.
تم نصح AFRINIC بالتقدم إلى المحكمة العليا في موريشيوس بموجب المادة 118 من قانون
الشركات لعام 2001 للحصول على أمر من المحكمة المذكورة لتكون قادرة على الاتصال ب
AGMM يونيو 2019.
كما ذكر رئيس مجلس الإدارة في 7 فبراير 2019 (انظر

المحكمة العليا في موريشيوس أمر ، تحت مرجع الحالة SC / COM / MOT / 01411/2018 ،
حيث يكون القاضي المتعلم:
• التنازل عن متطلبات المادة 12.10 من دستور AFRINIC ، و
• أعلن أن ما لا يقل عن 10 أعضاء (بصرف النظر عن وضعهم كمديرين إقليميين أو غير
إقليميين ، أو أعضاء مسجلين أو أعضاء في الموارد) يشكِّل النصاب القانوني على
النحو الواجب لأغراض اجتماع الجمعية العمومية المزمع عقده في يونيو 2019 أو
تقريبًا.
أذن مجلس AFRINIC بنشر نسخة منقوصة من سجل المحكمة يتم فيها حجب المعلومات
الشخصية. يمكن للأشخاص المهتمين بالحصول على سجل المحكمة بالكامل مباشرة من قلم
المحكمة العليا في موريشيوس.
