http://kernelnewbies.org/Linux_3.4#head-9df4e508cb97f4e138c590b9ccff3e0eda6cc7fc Basically, udev now autoloads the 'microcode' module for you and tries to upgrade your CPU microcode (btw, it should also autoload powernow-k8 and kvm-amd now, so no need for them in MODULES any more!). You could install the amd-ucode package to make this go away, ignore the warning, or blacklist microcode via modprobe configuration files ('blacklist microcode').
