Giving full control to "Network Service" account o n the application folder 
should fix the issue.

Hi Raja,

Are you trying to upgrade from 4.0SP1 --> 4.0 SP2?
Try copying the aod files of 4.0SP2 and restart the AX client and this should 
work and upgrade checklist should be completed.
