It appears (guessing a little here) that you have an installation that hung up,
and Windows will not allow a second instance of the installer to run.

If you do not know what could be using this process, then about the only thing
you can do is a hard stop and reboot. If the box has a reset button, press it in
and hold it until the screen goes blank.  Other machines can accomplish this by
pressing the power button and holding until the machine powers off.  Still
others must have the power cord disconnected.

Once it is shut down (power off) leave it off for at least two minutes, then
reboot.  After it boots up, run the utility REGCLEAN.EXE which is available free
from Microsoft., then select the boot drive in "My Computer" > select properties
> tools > check drive for errors.  check the box to automatically fix file
errors.      This will not run except on bootup, so it will be necessary to
reboot the computer and let it check the file integrity due to the hard
shutdown.  Once this is accomplished and the machine boots up again, it might be
a good idea to defrag the C: drive also.  Then make sure all patches and updates
are installed.
Don't skip any of the steps.

In most cases this will cure the problem of the hang on shutdown, and problems
with installing new apps.
