I'd simply offer to sell them the domain name and if they refuse, let them try to sue (assuming you actually have any paperwork to support the former relationship with BUMC). Most cease & desist letters are issued with on the principle that most people won't try to fight them (Apple, for example, is infamous for sending C&D letters at the drop of a hat). So don't view their letter as a "threat", view it as standard legal practice.
