I saw this type of behavior once with a back-to-back frame relay
configuration.  The connection was working to start with, but then I
upgraded one router to a 12.0(x) release and the two routers stopped
speaking to each other.  The older router was running an 11.1(x)
release.  I upgraded it to a newer release and all was well.

Perhaps you have a similar issue?  Have you tried using HDLC instead of
PPP just to see if the link will stay up?

I know you know this stuff Tim, but did you set the DCE settings on the
CSC
card & also set clockrate on the DCE side ???  I've spent many a night
(late
!!!) with these AGS Up/Down Serial interfaces.  I've I wasn't so sure
the
router would pull my back out,  I would have pitched it :o)
