First, I always try to stay with the current stable kernel. (whatever the package system tells me it needs really).

Next, if you follow tech news (SlashDot, Ars Technica, etc.) you see the occasional reference to the latest zero-day vulnerability. Most of those are related to Windows or a particular web browser. But occasionally you see one about Linux, Apache, etc. These are usually already fixed by the time you read about them and an update helps protect you.

Lastly, the server in question is a public facing web server. So, yeah, I periodically want to ensure it is up to date with the latest security patches (I try to not be a month or two out of date). In this case I was more concerned about an Apache issue, but I couldn't fix that at all because the package system had borked on my kernel. So the fix was to upgrade my kernel (or at least fix the package system's configuration for the kernel) so that I could get past that error and upgrade the rest of the server.

Generally I agree that a kernel shouldn't need to be at the latest/greatest version, but it shouldn't be toooo out of date either.

    I think I resolved this.

    If you look at the output of my "dpkg -l" command, you'll see

    iU  linux-generic-pae                    3.2.0.41.49 Complete Generic
    Linux kernel

    and

    iU  linux-image-generic-pae              3.2.0.41.49 Generic Linux
    kernel image

    It says right there that these two packages are depending on
    3.2.0.41.49, but everything else is depending on a 3.2.0.45.x version.
    So, I purged those two items via

    dpkg --purge linux-generic-pae
    dpkg --purge linux-image-generic-pae

    And then ran the apt-get -f install command to fix any broken installs.
       It didn't report errors this time.  apt-get upgrade is now running.
    And if I do a listing again these packages are now reporting
    dependencies on the .45.x version of the kernel.

    Crisis averted.  Now the real test will be to reboot the server and see
    if I broke anything.  I mean I did purge EVERY kernel except the
    latest...

    With Ubuntu 12.04, you might want to consider going with the 3.5 kernel
    (the current default of new 12.04.x installs).

    Also, I assume that this is a 32 bit install on a machine with more
    than 4
    GiB of memory?  If not you probably do not need the PAE kernel (just the
    generic should suffice).
