I have this problem with a Microstar Pro266 mobo (or something, pIII
mobo). It does not click, it just sits there when ACPI is enabled. 
With APM it works fine. I think I have already seen another
(completely different) mobo that did the same thing.

The same with my machine.

Normal for machines w/o power management.

If try your computer shuts down properly when ACPI is disabled and APM
enabled. I suspect Windows has the 'use APM for shutdown' always on.
