NO!!! the NVdriver does not work with 2.4.x kernels
Use XFree 4.0.x [preferable 2]

u MUST have the kernel source and headers in /usr/src/
leave the kernel header folder alone... i would rename the kernel-source* 
folder to linux/ and then build the GLX package then the NVIDIA_kernel 
package...
