from apt-get(8) dist-upgrade dist-upgrade, in addition to performing the function of upgrade, also intelligently handles changing dependencies with new ver- sions of packages; apt-get has a "smart" conflict resolution system, and it will attempt to upgrade the most important pack- ages at the expense of less important ones if necessary. An example that I've heard used before is that if a new version of a package requires another package to be removed, upgrade will not do it, but dist-upgrade will.
