Strange. I had exactly the same problem and I found out it was the intel sound modules... So I wrote a simple /etc/init.d/ script which unloaded them just before the shutdown. The strange thing is that after a pretty recent kernel upgrade, I found that that was fixed, so I deleted my custom script. Are you using an old kernel? (I am now using the 2.6.22-2-686).
