Proj4 includes some EPSG definitions + some ESRI definitions + (maybe) other sources. So the ESRI database would cover all ESRI definitions in Proj4 (we would keep the EPSG database for EPSG definitions). I don't know yet about the other sources that may be included in Proj.4 however.
