I would have expected a breakpoint in excep.cpp to have worked. Managed System.OutOfMemoryException is thrown when the garbage collector fails to allocate memory. gcsmp.cpp calls ComPlusThrowOM() which is a macro that calls RealCOMPlusThrowOM() in excep.cpp.
You could also try putting a breakpoint in the PAL's VirtualAlloc() code as the gc uses that API to reserve and commit memory.
