#1      A gray item is one sold here but intended for a non US market.

#2      With Canon, the only potential problem is if it needs warranty
        repairs, it might have to go to Japan.

#3      Sometimes, not always.  Look at an online price list, Some items 
        cost less, some don't.

#4      Up to you.....

#5      There is a switch in the battery compartment that switches the 
        540-EZ from Metric to non Metric.
