Its a real merger and involves a stock swap. Problem with Canon v. Nikon, Nikon Corp. is part of the Mitsubishi Trading Company and hence not available for selling or merging. Canon on the other hand is a public company and can be taken over, sold, etc. Trading companies are unique in their arrangement.
