I would tell your friend to write a letter to Microsoft explaining.
He purchased a OEM copy from a local PC retailer with out purchasing a
PC.  He should also at the end of the letter say he does not accept
the EULA and he would like his money back.  Attach a copy of the
receipt as well as the OEM copy of Windows XP.  I would also ask the
"The bastards at VOS " for a letter explaining why they will not
refund his money.  He should get a check back from Microsoft in 7 to
10 days.  I don't think MS Legal will agree with VOS that by
purchasing $1.00 dollar of screws and misc case fittings equals a new
PC.

It is labeled as "For distribution only with a new PC", which makes it OEM.

They sold him $1 worth of screws to make it qualify as legal OEM....
