Too much memory.  Seriously.  If you want to run 4gb of memory of W2K
Standard running Exchange, you need to be running Advanced server, not
Standard.

The problem is that your virtual memory is getting fragmented (duh!).
http://support.microsoft.com/default.aspx?kbid=266096 tells you that you
should be running the /3gb switch with more than 1gb of memory, but
alas, you cannot (or at least should not) use that switch on W2K
Standard.
http://blogs.msdn.com/mfp2 has several posts about 9582 errors by
Michael Palermiti, who works for Microsoft and it also details several
changes that you can make to your server (mostly registry changes) that
can help if you are dead set against removing memory.

BTW - no one from PSS or Microsoft will "officially" tell you to remove
memory without extensive troubleshooting, but if you take your memory
down to 2gb or less, odds are this problem will go away.  Here are some

I have an Exchange server that continues to receive the error message
seen below.  I reboot have restarted the services / rebooted the server
