Just to post the fix...if that's what it really was.
Placed a call to PSS and they verified that I had done all the steps,
and were just as confused as I was.  We verified that the old server
wasn't still in the AD Schema, etc...
I was finally to the point of hey e-mail is flowing and we don't seem to
be missing any messages right now.  The queue was growing at about 1500
messages a minute and eating up the sysvol on the server and making me
very very nervous.  After some more digging it appeared that these were
all NDR or system messages.  They then came to the conclusion that a MTA
wipe would take care of the problem, so that's what we did.  The old MTA
folder had over 2gig's of files in it when I deleted it from the system.
Some thing new that I learned that I didn't know, and that is not listed
in the KB's, the support guy informed me that they had it noted in there
documentation that you should reboot your E2K3 servers when you remove
the first/last 5.5 server from your org.
So in the end it cost me about 3 hours on the phone with PSS, and a lot
of stress.  The good news for me is that this call didn't count against
my SA support quantity, and no one has complained about missing messages
or e-mail troubles.

Problem, our mail is flowing, but seems to be erratic, when I looked in
the queues I saw that this one is growing by the thousands of messages.
I deleted our 5.5 server today, it has been shut down for about the last
8-10 weeks.
Running Exchange 2003 on Windows 2003 no more exchange 5.5 servers...
