How about using MSFT's 2003 clustering solution? 

Another option would be DoubleTake. I haven't used it, but I've heard
good things about it.

All I am looking at software to help with failover has anyone ever used
Neverfail software for their Exchange 2003 server or any other software
that would do the same . 

We had a issue while working with MSS installing Exchange SP2 that
killed our Exchange 2003 server and it took a couple of days to get it
back,  the end result after working with the MSS in India was a fresh
rebuild of the server. 

So management wants to have another plan so this doesn't happen again,
thus a failover server. So if anyone has any idea's on what a good
software package is please let me know. As of now I am looking at
neverfail but would like to hear of other options that some of you might
have used.
