Using 2000 adv server ms vpn...looks like they do not want me to install on exchange server. It would then be a one nic unit and would transmit clear text only!!

Anyway, I think you could install it directly on the Exchange server. This way you have a secure connection all the way to the server. To think of it, you may even want to try IPSec on the Exchange server. Make sure ports 135 as well as 1024 and higher are open.
