Have you tried booting cold into Windoze? That is shutting the machine completely down, power off. Maybe Linux is leaving a piece of hardware in a state that 'doze doesn't like. Forget being able to use the Winmodem effectively in vmware. Then again, if you have a modem that works in Linux, you can just masquerade and access the outside world from Windoze in vmware. I do this for troublesome sites that crash Netscape.
