The most likely cause is that the SMTP relay server advertises that it accepts 8-bit MIME. But when SMTP tries to relay the message to Exchange 5.5 it finds that 5.5 doesn't accept 8-bit MIME encoded messages. The SMTP server then sends a Non Delivery Report to the source server of the person who sent the message.
