Sounds like you want Apache + WebDAV. For download notifications, you can have
something scanning the Apache logs....

You mean WebDAV on the internal side or external?
Right now my users simply upload through Samba and one of the
requirement is that external users (downloaders) should not need
anything more than a browser...
