Hello,
disabling acpi is not an option, since i'm running SMP.
I have several other systems running 7.0 Release without problems,
so it might be something on 7-Stable.

hw.acpi.disable_on_reboot
hw.acpi.handle_reboot

You're using VMware, which may or may not behave properly anyways.
