The upgrade_export and upgrade_import tool should do it. Just test it... It basically exports everything, rules, CA, etc to a .tgz. You can then import it into the Win mgt svr.
Just make sure the host name, IP,s etc are the same. I'd suggest checking the docs on the CP site for full details.
