This is a known problem, when upgrading from FP2 to FP3
It seems that the rulebase gets unrecognizable.

Smartcenter assumes that any unidentified rulebase should be 4.1 or even a 4.0 policy.

#fwm load -l41 fw_ver_41_rulebase.W gateway
command loads a 4.1 rulebase on the  4.1 gateway with the -l switch. That is the
source of  -l switch

You should try manually upgrading your existing FP2 files to FP3 on SmartCenter with:
#fwm up fp2 fp3

Running a pre/post upgrade verifiers is a nice idea.

I did not try this since we had to revert back to FP2 upon request ;-)
