The biggest downside to hardware-based load balancing solutions is that you add
an additional layer or two of complexity to your network. You now have another
device to configure and maintain, and which can also become a single point of
failure on your network (if HA is your goal). For the cost, software HA on the
firewall generally tends to be more efficient, and you get most all of the same
advantages.
Of course, in addition to Jack's suggestion to take a look at Rainwall, be sure
to also consider other great software products, such as Stonesoft's StoneBeat
