Do you have any PCI cards that might not be supported under panther. I had a PCI/Firewire go south on me that did the same thing. I replaced the card and reseated the RAM and other PCI cards.
I suspect the system is having a problem at the hardware identification phase as it is trying to load the appropriate drivers.
