Have a look at the ArcSDE Error Codes (e.g. for Version 9.2):

Please also look at the logs on server side %SDE_HOME%/logs

Maybe you could provide some additional information:
- Is the sde service already started?
- Do you have remote database installation (server where SDE is installed is
an other one than the dbms). Can you connect with the dbms client directly?
- Is the service available from ArcCatalog? Have you configured an other sde
port than 5151?
- Or finally : What SDE version is installed server side? Same or higher
version?
