That's a question I've raised and discussed several times over at
http://lists.osgeo.org/mailman/listinfo/gdal-dev in oder to get a DXF filter
for OGR. As the things are now we all are still waiting for a sponsor.

So my tip is to try OpenJUMP with plugin (or gvSIG or GRASS?) and convert to
GML. Then use an XSLT (tbd.) to convert to OSM (*).

*) An XSLT processor call needs quite some fidling (and can be accelerated
by compiling gml2osm.xsl):
% java -Xmx512M -cp lib\xsltc.jar;lib\xalan.jar
org.apache.xalan.xslt.Process -xsltc -xsl gml2osm.xsl -in test.osm -out
test.osm
