I bet you were prompted to install Growl when something else you installed needed it. It's not a part of os x, it's a third party application that we work on, just to make sure you're clear on what Growl is. :)
Now, as to that popup, I bet you have 2 versions of Growl installed. Can you grab the Growl installation dmg if you don't have it already, run the uninstaller, and then rerun the installer? I'm hoping this will clear it up for you.
