What sort product do you have?  Syncsort or DFSORT?

With DFSORT I would look at the ICETOOL manual.  For Syncsort SYNCTOOL.

Are you finding all matches between File1 and File2 or are you looking for 
unique keys?  You sample is not very clear to me
