I can login as root and can see that the various files are there.

and both HD's seem to be functioning partially.

Also while bootup it gets to saying unpacking kernel and so on.

There are two HD's - tried doing a df command and it fails

tried doing cfdisk - just to check what it says and again it gives an 
error message

says /proc is missing.

Sorry. Came into this discussion late, and maybe I am missing
something. Have you tried something as simple as fsck on the
partition. If it is your root partition, does Ubuntu give you a shell
prompt from which you could do the fsck? Else, try booting from
a live CD, and doing the fsck. In any case, this probably indicates
an impending hard drive failure, and you should be trying to backup
the data, even if fsck succeeds. You can check this further with
/sbin/smartctl that comes with the smartmontools package.
