While Exchange allows for much more "relational" and robust list
management after the fact, the initial setup of a distribution list on
the server side can't be a one-step import from an IMail
USERS.LST/USERS.TXT file. You first need to see if a dynamic DL or a
static DL is most appropriate, and create the DL object in Exchange.
Then, for every user in the IMail membership file(s), you need to
check for and/or create Exchange mailbox-enabled users for users at
local domains, and check for and/or create mail-enabled contacts for
users at remote domains. Depending on whether you're using a dynamic
or static DL, the method of linking the members to the list will
differ.

I'll be happy to help you work on the LDAP queries necessary to
automate this -- it's an interesting challenge -- but how many lists,
and unique users, are you talking about? I also think we should
probably move this to one of the Microsoft newsgroups, since the IMail
format is quite generic.
