I've set it up with MSCS on NT 4 EE and it worked extremely well (just
set  it  up as a generic service). I can't imagine why it wouldn't run
on  Win2K AS. But have you looked at Vinca Co-StandbyServer and/or NSI
Double-Take?  Both  of  these are third-party solutions that cost, but
they  are  certified compatible with a much wider range of inexpensive
h/w than MSCS, so the overall cost of the cluster should be lower.
