I am currently dealing with the same migration. There is a perl script called vss2cvs, available at http://www.laine.org:8080/cvs/vss2cvs/. It seems to do a good job.
One situation that the script can't handle: importing projects (and all sub-projects) with a plus sign (+) in the name.
