Does anybody know if this actual for 4.2.0 kernel (far more recent than the one 
described in the OP)?
Because I ran into this after some googling while having the same issue on 
rather fresh Ubuntu.

Bug description:
  Kernel 2.6.26.* / 2.6.27.* (intrepid) panics during boot in
  Virtualbox.

  The problem occours with VT-x/AMD-V disabled. Enabling the VT-x/AMD-V
  (on a host that supports this) and the problem doesn't show up.

  Expected result: System boots correctly.

  Actual result: System fails to boot with kernel panic errors.

  Errors on screen (see attached for screen shot):
  Code: Bad EIP value.
  Kernel panic - not syncing: Attempted to kill the idle task!
