At last Wednesday's SDCS Board meeting, with a minimal turnout, we
determined that neither Andrew nor Gregory are willing to run for
another term at the elections in May. Both Dick and I are willing to
do another term if elected.

However, without a secretary and treasurer, this puts the future of
the SDCS in doubt. While Dick and I are willing to do our jobs, we're
not willing to do two jobs apiece. We discussed the situation and
concurred unanimously that unless new volunteers step forward to help
carry the load, we must conclude that the SDCS is an organization
without a
membership; we will close the corporation in 2006 if we have no
new support.

I personally would regret this. It seems highly inefficient and
wasteful to me to turn back onto the four remaining sigs the cost of
their annual non-profit corporate fees, insurance, and miscellaneous
expenses such as tax preparation. Paying them four times when we could
be paying them once makes no financial sense.

This is especially ironic since the SDCS has enough cash on hand to
suspend dues and pay for these expenses for a decade or more from the
treasury. But the fact is, without people to do what little work there
is, none of those jobs will get done anyway. Perhaps the individual
sigs will have a better chance of rallying volunteers to do those
tasks.

The SDCS Board certainly cannot continue operate as it has. It is both
unfair and unrealistic to ask a declining core of volunteers to do
more and more without support.

I write to you four as the presidents of the remaining sigs. We on the
Board agreed to treat the SDCS elections in May as a referendum on the
future of the central society. If people step forward -- and follow
through -- then Dick and I will continue for another year and keep the
organization open. If not, we'll close it.

I would be remiss if I did not thank Andrew and Gregory -- and all of
you -- for their and your help and effort over this year.
