the answer was embarassingly simple
 
1. make sure you're using the latest version 1.3.1 - you need the rdp5 support
2. you want your XF86Config file to specify:
 
Option XkbModel "pc102"
Option XkbLayout "he"
Option XkbVariant "nodeadkeys"
 
3. Make sure that hebrew input methods and Office Hebrew support (in the Microsoft Office Language settings)
are set on Windows 200x terminal server
New installations of IE may reset your hebrew definitions.

I'm using rdesktop v1.3 for some time and have the same problem with the ALT key.
Actually the ALT key behave like the Caps Lock key, that mean the 1st press tern in on and the 2nd press tern it off.
I got use to it.
Please inform me if you find any solution
