I figured that out..
thx
present issue-
in grub.conf I configured for a dual boot.making
rootnoverify(hd0,0) to make active..
wen rebooted ..in the grub,winxp and rehat options are
visible..wen winxp selected mesg displayed

(hd0,0)
chainloader +1 
makeactive
.......

then goes back to grub

bottom line have
installed Xp first then linux..
possible reason..used partion magic 8.0
